These Terms of Service ("Agreement") are a legal contract between you ("User," "you," or "your") and Moonscape Software FZCO ("ARNO," "we," "us," or "our") and govern your use of the ARNO application (the "App" or "Services"). Please read these terms carefully before accessing or using our Services.

1. Assent & Acceptance

By downloading, installing, or using the ARNO app, you agree to these Terms of Service and our Privacy Policy. If you do not agree to be bound by this Agreement, please uninstall the app and delete any downloaded content immediately.

2. Definitions

• "Services" refer to the cross-agent memory indexing and search features offered by ARNO for Claude Code and OpenAI Codex conversations.
• "Effective Date" refers to the date these Terms of Service come into force.
• "User" refers to any person using the ARNO app.

3. Age Restriction

You must be at least 18 years old to use ARNO. By using the Services, you confirm that you meet this age requirement.

4. Services Overview

ARNO provides local, on-device indexing and search capabilities for conversations with AI coding assistants including Claude Code and OpenAI Codex. The app operates entirely on your local machine and does not transmit, upload, or store your data on external servers.

Key features include:

• Local indexing of AI agent conversations
• Cross-agent search and memory recall
• Context building from past conversations
• All processing and storage occurs on your device only

5. Local-Only Operation

ARNO is designed as a local-only application:

• All conversation data remains on your device
• No user accounts or cloud storage are required
• No data is transmitted to external servers
• The app does not require an internet connection to function (except as needed by Claude Code or Codex themselves)

6. Privacy & Data Protection

We do not collect, store, or transmit your conversation data or personal information. All data processing occurs locally on your device. For detailed information on how the app operates, please refer to our Privacy Policy.

7. Payment & Subscriptions

7.1 Free Trial: ARNO offers a free trial period to evaluate the Services.

7.2 Paid Subscription: After the trial period, continued use requires a paid subscription. Pricing and subscription details are available within the app and on our website.

7.3 Payment Processing: Payments are handled through third-party processors. We are not responsible for payment processing issues.

7.4 Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

8. User Responsibilities

8.1 Lawful Use: You agree to use ARNO only for lawful purposes and in accordance with these Terms.

8.2 Device Requirements: You are responsible for ensuring your device meets the minimum requirements to run ARNO.

8.3 Backups: While ARNO stores data locally on your device, you are responsible for maintaining your own backups of important data.

9. Intellectual Property

ARNO and all related trademarks, logos, and service marks are the property of Moonscape Software FZCO. You may not use our intellectual property without prior written permission.

10. Disclaimer of Warranties

ARNO is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the app will be error-free, uninterrupted, or meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by law, Moonscape Software FZCO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any bugs, viruses, or other harmful code that may be transmitted through the Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content made available via the Services

12. Termination

We reserve the right to suspend or terminate your access to ARNO at our discretion, including but not limited to violations of these Terms. You may discontinue use of the app at any time by uninstalling it from your device.

13. Changes to Terms

We may modify these Terms of Service from time to time. Significant changes will be communicated via the app or our website. Continued use of the Services after such changes constitutes acceptance of the updated terms.

14. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in the United Arab Emirates.
